Context

Due to the diversification journey initiated through external growth, it is necessary to straighten the organization around M&A capabilities.

This new position is created to support the top management on the entire M&A process including the DD process.

The candidate will be responsible for overseeing the integration process, ensuring that the newly combined entity operates smoothly and achieves the projected growth & synergies. The candidate will be responsible as well to advocate the group values and process to the newly acquired companies.

As a complement to this M&A role, the candidate will take over the follow-up of the global efficiency program to ensure its implementation and return.

Ultimately, the candidate’s goal is to ensure success integration of the targets, to ensure the implementation of the planned synergies with our current organization, and more globally, to be accountable for the follow up of the global efficiency of the group.

 

Key responsibilities

M&A

Support the Group CFO / Management during the entire M&A process, including the DD process : liaise directly with the external advisors who perform the DD and report to the management on the progress or difficulties,
Be responsible for the post-merger integration to ensure smooth transition and achievement of the strategic objectives : work with the target to align internal processes, to implement necessary reporting, to collect and analyze historical data & current performance, to help the new team to embrace the Group culture and values,
Monitor the performances of the acquired companies by implementing the necessary improvements and reporting,
Ensure that the targeted business & back office functions synergies are implemented : implement required KPI to follow the progression & support the target and the group on the implementation of theses streams,
To be the bearer of the Group Values towards the new team,
Communicate and report on the merger and acquisition activities to senior management,
Ensure all activities comply with legal regulations and company policies.
 

Global efficiency

More globally, be accountable for the follow up of the efficiency program at the group level : implement the necessary monitoring and support the respective teams to achieve the synergies & savings ; report to the Group CFO & Top management
Be pro-active in proposing new efficiency streams.

Profil

Qualifications

 

Our ideal candidate has a strong financial background, excellent negotiation skills, and a comprehensive understanding of the M&A landscape

Proven experience as a post-M&A Manager or similar role in Corporate Development for a minimum of 5 to 7 years
Strong understanding of corporate finance and valuation methodologies
Excellent negotiation and communication skills
Knowledge of M&A legal and regulatory environments
Ability to manage complex projects and multi-task in  a multicultural environment
Proficiency in financial modeling and analysis
BSc/MSc degree in Finance, Business or related field. MBA preferred
 

This job requires close collaboration with various parties including company executives, financial advisors, legal professionals, and stakeholders.

Strong project management skills to manage the entire process of mergers or acquisitions & post-acquisition process effectively.
Outstanding communication skills to clearly articulate the strategic objectives of the merger or acquisition to all stakeholders.
Problem-solving skills to identify and mitigate risks that could impact the successful completion of the merger or acquisition or integration.
